Working under the supervision of the Chief Risk Officer, the General Counsel will assist in providing general legal services to the Company including transaction advisory, governance oversight, compliance program management, and corporate affairs. The Counsel will provide day-to-day legal advice to GHGS related to global business matters and act as the Corporate Secretary. The Counsel will interface with all areas of GHGS, as well as GHGS Members (GE, AES, and Mission Point), clients, and third party service providers. The Counsel will provide legal advice and business perspective on all aspects of GHGS business including but not limited to: investments, purchase and sales, acquisitions, joint ventures, business development, integrations, operations, employee matters, growth initiatives, corporate governance, restructuring, new products/markets, litigation and customer disputes.
Responsibilities
* Structure, negotiate, and draft, and provide legal advice related to various agreements, such as purchase and sale, service, partnership, joint venture, and operating agreements, as well as modifications and amendments to such agreements.
* Provide legal advice to project management team related to contract risk management, customer requests, change orders, and dispute management support during execution of contracts.
* Provide legal advice in connection with drafting, negotiating and managing engineering, procurement and construction (EPC) projects
* Train business team on key compliance risk areas and provide support on compliance risk areas.
* Serve as a key member of cross-functional teams implementing business objectives in domestic and international contexts.
* Advise internal clients on policies, laws and regulations that affect the conduct of GHGS business.
* Participate in the development and implementation of new processes with the goals of resolving unanticipated procedural compliance risks; identify and lead projects to simplify legal processes.
* Provide legal advice on regulatory, governance and human resource matters facing the business.
* Responsibility for selecting, supervising and managing outside counsel on all transactions and coordinating with attorneys from Member companies.
* Other duties to include: draft memorandums and perform legal research, analyze and summarize legal issues as required by the Company, draft commercial leases, amendments and other ancillary documents, oversee litigation matters as and provide other legal services as may be required.
Qualifications
* Juris Doctorate from accredited law school
* Licensed to practice law in the Commonwealth of Virginia
* Member in good standing of one or more state bars.
* Minimum 7 years experience in contract drafting and negotiations with a major law firm or large multinational business, including experience with complex financial and corporate transactions.
* Unrestricted authorization to work in the United States.
* Willing to travel up to 20% of time.
Other Qualifications:
* Experience with carbon market transactions preferred but not required.
* Ability to work independently and accurately
* Desire to work in a corporate setting.
* Strong organizational and analytical skills, sound judgment, and the ability to work harmoniously with co- workers, attorneys and third parties.
* Ability to respond to inquiries from regulatory agencies, customers and business community.
* Ability to effectively and efficiently communicate in writing and orally, the capability to think clearly and quickly under pressure, and the composure to satisfy multiple and often competing interests.
* Proficient in MS Office Suite (Word, Excel, PowerPoint).
