The purpose of this position will be to identify, assess and manage risk to protect Sigma's interests in transactional law matters, including merger and acquisition transactions, financing transactions, commercial agreements, SEC filings, international law matters and governance matters including serving as Assistant Secretary and maintaining global subsidiary filings.

Responsibilities:
' Development and implementation of legal strategy for mergers, acquisitions and divestitures
' Transformational mergers or acquisitions including due diligence, contract drafting and negotiation and closing; perform all legal work for bolt-on acquisitions.
' Maintain and update current template agreements used routinely in Sigma business units (including CDA, MTA, OEM, Supply, Distribution, patent licenses, etc) and improve the language of such agreements to minimize the risk to Sigma.
' Provide legal and business counsel on and review of contracts for business units throughout Sigma.
' Provide legal advice and drafting assistance on recurring SEC filings, generally 10K, 10Q's, 8K's, and Form 4's, and any registration statements.
' Provide advice and counsel on SEC laws and regulations.
' Assist in international financing transactions.
' Develop, maintain and update template agreements and improve the language of such agreements to minimize the risk to Sigma.
' Work with corporate personnel to review and develop 'unique contracts' as needed, in an efficient and effective manner.
' Maintain corporate good standing and records for all subsidiary companies on a global basis

Qualifications:
' Juris Doctorate
' Current knowledge of SEC statutes, regulations, interpretive guidance and State Blue Sky laws
' NASDAQ exchange rules
' Familiarity with international law principles
' Corporate governance law and practice
' Minimum of ten (10) years experience as counsel in corporate or law firm environment
